TERMS AND CONDITIONS FOR SUBMISSION OF MATERIAL


1. Introduction

These terms and conditions (the "Conditions") apply to all Material (defined below) submitted to Radge Media C.I.C., a community interest company incorporated in Scotland (Company Number SC310052) and having its registered office at M9, Codebase, Argyle House, 3 Lady Lawson Street, Edinburgh, EH3 9DR ("the Company") by whatever means and for whatever use including but not limited to publication by the Company (i) in The Skinny magazine and/or any other magazine produced by or on behalf of the Company (the "Magazine"); and (ii) on the Skinny website at www.theskinny.co.uk and/or any other website operated by or on behalf of the Company (the "Website"). Please read and accept the Conditions before submitting Material to the Company. By submitting Material to the Company via the Website you agree to be bound by the Conditions.


2. Definitions

For the purposes of the Conditions:-

2.1 "Intellectual Property Rights" means copyright and any other rights in any work, articles, reports, documents, specifications, instructions, plans, models or designs, software, drawings or other materials whether in writing or presented in any other form, database rights, business names, product names and logos, design rights, unregistered design rights, rights in the nature of copyright and know how, confidential information and any other intellectual property rights; and
2.2 "Material" means any material in whatever format that can be incorporated into the Magazine and/or the Website including without limitation any text, photograph, graphic, video or audio material and any underlying material.

3. Licence of Material

By submitting any Material to the Company via the Website or otherwise, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence (including the right to sub-license) of the entire right, title and interest past, present and future in and to the Intellectual Property Rights in and to such Material. You hereby waive any Moral Rights (as defined in Chapter IV, Part 1 of the Copyright, Designs and Patents Act 1988) that you are now or may at any time in the future become entitled to. The Company shall have the right to use the Material in any way, including (without limitation) the right to copy, edit, adapt, reformat, translate, create derivative works from, incorporate into other works, distribute, perform, play, broadcast, commercialise and otherwise make available to the public such Material (whether in whole or in part, or copies of the same) in any format or medium currently known or developed in the future, including, for the avoidance of doubt, publication in the Magazine and on the Website and as part of any ongoing publishing business as the Company deems necessary, for the full period during which such rights subsist (including all renewals, revivals, reversions and extensions of the same) and thereafter to the fullest extent possible in perpetuity.

4. Ownership of Material

You will remain the owner of the Intellectual Property Rights in Material that you submit. The permission you have granted to the Company is not exclusive and you may continue to use the Material, and allow others to use the Material, provided such use does not interfere with or impair the rights you have granted to the Company. You acknowledge and agree that the Company shall be entitled to be the first to publish the Material and that any future publications of the Material by you or with your published consent online or in print will be credited with The Skinny name, logo or hyperlink http://www.theskinny.co.uk.

5. Content of Material

By submitting Material to the Company you hereby warrant and undertake to the Company that:
5.1 you have obtained all consents and authorisations necessary to allow you to accept these Conditions;
5.2 the Material is your own original work and has been produced by you;
5.3 the Material has not been copied wholly or substantially from any other material and that the exercise by the Company of the rights granted to the Company in these Conditions will not infringe the rights of any third party;
5.4 no other person has been involved with you in the creation of the Material;
5.5 you have not granted or assigned any rights of any nature in the Material to any third party in any part of the world; and
5.6 you have not created the Material in the course of your employment with any entity other than the Company.

6. Use of Material

You acknowledge and agree that when you submit Material to the Company:-
6.1 the Company has the right but not the obligation, in its sole discretion, to choose whether or not to use and/or to remove any Material from the Magazine and/or the Website at any time;
6.2 the Company can position the Material anywhere in the Magazine and/or on the Website as it chooses in its sole discretion; and
6.4 the Material may be made publicly available and that readers of the Magazine and both non-registered and registered users of the Website may be able to view and download the Material.

7. Losses caused by use of Material

You hereby undertake to pay to the Company on demand the amount of all liabilities, costs, losses, damages, claims, demands and expenses (including without limitation, all legal and other professional fees and expenses, on a full indemnity basis) which may be sustained or suffered by the Company as a result of any breach by you of these Conditions, and in particular the warranties set out in paragraph 5 hereof.

8. Governing Law

These Conditions shall be governed by and construed in accordance with the law of Scotland and the Scottish Courts will have exclusive jurisdiction over any dispute arising from or related to these Conditions.
